CORRECTION: NOTICE CALLING THE ANNUAL GENERAL MEETING OF SHAREHOLDERS

AS Tallink Grupp has amended the 30 June 2020 notice of calling the Annual General Meeting. Pursuant to the amendment the penultimate sentence of point number three of the agenda shall be read as follows: “The price payable for one share shall not be higher than the highest price paid at the Tallinn Stock Exchange for the share of AS Tallink Grupp on the day when the share is acquired".

Baltic SF VIII Ltd, a subsidiary of AS Tallink Grupp purchased today a ro-pax vessel MS Sailor from Navirail OÜ. The ship is registered in the Cyprus Ship Registry and is going to sail under the Estonian flag. The vessel is scheduled to be handed over on 9 July 2020.

The purchase of the ro-pax vessel will strengthen Tallink fleet’s cargo capacity.

The transaction price is EUR 8.5 million, the investment is not significant to the consolidated results of AS Tallink Grupp.

NOTICE CALLING THE ANNUAL GENERAL MEETING OF SHAREHOLDERS

The management board of AS Tallink Grupp, registration code 10238429, location and address at Sadama 5, 10111 Tallinn, is calling the annual general meeting of shareholders on 30 July 2020 at 11:00 AM (Estonian time) at the conference centre of Tallink SPA & Conference Hotel, at the address Sadama 11a, Tallinn.

Last week AS Tallink Latvija, a wholly-owned subsidiary of AS Tallink Grupp, registered a wholly-owned subsidiary in Latvia – SIA BK Properties. The purpose of founding the subsidiary is acquisition and holding of real estate properties for the operation of Burger King restaurants in Latvia. The restaurants will be operated by SIA Tallink Fast Food Latvia.

AS Tallink Grupp and SA KredEx have today signed a working capital loan agreement. The total amount of the loan limit is EUR 100 million and the loan can be drawn in EUR 10-40 million tranches. The interest rate of the three-year maturity loan is 12-month Euribor +2%.

The loan is secured by mortgages on five vessels ranking after the existing creditors.

In May 2020 AS Tallink Grupp transported 75 511 passengers, which is a 91.2% decrease compared to May 2019. The number of cargo units decreased by 18.4% to 28 948 units and the number of passenger vehicles decreased by 75.1% to 23 446 units in the same comparison.

Amendments to loan facility agreements signed by AS Tallink Grupp and all its lending banks whereby loan principal repayments in the amount of 61mEUR for the year 2020 are deferred and added to the last payment of each respective loan facility came into force today. The loans' final maturities and interest margins remained unchanged. Request for waivers of loan covenants were also approved.

The repayment rescheduling improves significantly Tallink's liquidity position and gives more flexibility for Tallink to maintain sufficient working capital in challenging economic environment.

A subsidiary of AS Tallink Grupp, Baltic SF IX Limited and Marine Atlantic Inc, a Canadian company with the state participation therein, have concluded to extend the current charter agreement of MV Atlantic Vision (ex. Superfast IX) for two years, until November 2022.

The vessel has been on the long-term bareboat charter since November 14, 2008.
