NOT FOR RELEASE, DISTRIBUTION OR PUBLICATION, DIRECTLY OR INDIRECTLY, IN OR INTO THE UNITED STATES, AUSTRALIA, BELARUS, CANADA, HONG KONG, JAPAN, NEW ZEALAND, RUSSIA, SWITZERLAND, SINGAPORE, SOUTH AFRICA, SOUTH KOREA, OR ANY OTHER JURISDICTION IN WHICH SUCH DISTRIBUTION WOULD REQUIRE ADDITIONAL PROSPECTUSES, REGISTRATION OR OTHER MEASURES IN ADDITION TO THOSE REQUIRED BY SWEDISH LAW, IS PROHIBITED, OR OTHERWISE CONTRAVENES ANY APPLICABLE RULES IN SUCH JURISDICTION OR CANNOT BE MADE WITHOUT THE APPLICATION OF AN EXEMPTION FROM SUCH MEASURES. FOR FURTHER INFORMATION, SEE THE SECTION "IMPORTANT INFORMATION" AT THE END OF THIS PRESS RELEASE.

AI Revenue Assistant Software Stockholm AB (publ) (“Aira” or the “Company”) (Nasdaq First North Growth Market: AIRA) has mandated DNB Carnegie Investment Bank AB (publ) (“DNB Carnegie”) to evaluate the conditions for carrying out a directed share issue of approximately SEK 22 million to Swedish and international institutional investors (the “Directed Share Issue”). Aira intends to use the net proceeds from the Directed Share Issue to accelerate the commercialisation of Aira for Fortnox, including investments in customer acquisition, product development, expansion of distribution channels and working capital. The Company’s largest shareholder, CEO and board member, Daniel Wikberg, has expressed his intention to participate in the capital raise through a separate directed share issue, subject to approval by an Extraordinary General Meeting.

The Directed Share Issue
The Directed Share Issue is intended to be carried out with deviation from the shareholders’ preferential rights, partly based on the authorisation granted by the Extraordinary General Meeting held on 21 May 2026 (“Tranche 1”) and partly subject to subsequent approval by an Extraordinary General Meeting (“Tranche 2”). The subscription price and the total number of new shares in the Directed Share Issue will be determined through an accelerated bookbuilding procedure, which will commence immediately following the publication of this press release. Provided that the Board of Directors resolves to carry out the Directed Share Issue, pricing and allocation are expected to take place before the commencement of trading on Nasdaq First North Growth Market on 21 October 2026. The exact timing of the closing of the bookbuilding procedure, pricing and allocation will be determined by the Company in consultation with DNB Carnegie. The bookbuilding procedure may close earlier or later than indicated and may be cancelled at any time. Aira will announce the outcome in a subsequent press release following the completion of the bookbuilding procedure.
The Company’s largest shareholder, CEO and board member, Daniel Wikberg has expressed his intention to subscribe for shares in the Directed Share Issue in an amount of approximately SEK 7.5 million. The part of the Directed Share Issue intended to be subscribed for by Daniel Wikberg will constitute Tranche 2 and will be subject to approval by an Extraordinary General Meeting in accordance with Chapter 16 of the Swedish Companies Act. Tranche 1 and Tranche 2 are independent of, and not conditional upon, each other. Notice of the Extraordinary General Meeting will be published through a separate press release in connection with, or shortly after, the announcement of the outcome of the Directed Share Issue.

Background and reasons for the Directed Share Issue
Aira develops AI-based software that helps businesses automate and streamline their customer and market-facing activities. Aira for Fortnox is based on the Company’s existing technology platform and is integrated into the Fortnox ecosystem. The solution is designed to automate customer-related workflows and provide small and medium-sized enterprises with access to relevant customer and market data, lead generation, and risk and opportunity analysis. The Company sees significant commercial potential in Aira for Fortnox and intends to use the proceeds from the share issue to accelerate customer acquisition and market penetration, continue the development of the product’s functionality and integration, and expand its distribution channels, including partnerships with accounting firms and presence in the Fortnox Marketplace.
The Board of Directors considers that the Directed Share Issue will contribute to a more appropriate capital structure and improved conditions for executing the Company’s growth plan. The Board has also considered the possibility of raising capital through a rights issue. However, the Board has concluded that a rights issue would take significantly longer to complete and would therefore entail increased exposure to market conditions, as well as a risk of delaying the Company’s commercial initiatives. A rights issue could also entail higher costs, including as a result of the need for underwriting commitments. In contrast, the Directed Share Issue is expected to broaden and strengthen the Company’s shareholder base by adding Swedish and international institutional investors. The Board considers this to be beneficial to the Company and to contribute to improved liquidity in the Company’s shares. The fact that the Company's largest shareholder and CEO, Daniel Wikberg, participates in the capital raise on the same terms and at the same subscription price as the external investors in Tranche 1 is also considered to signal confidence in the Company and its future development.
In light of the above, the Board has assessed that a directed share issue with deviation from the shareholders’ preferential rights is the most favourable alternative for Aira and in the best interest of the Company and its shareholders. As the subscription price will be determined through an accelerated bookbuilding procedure, the Board considers that the subscription price will reflect prevailing market conditions and demand.

Lock-up undertakings
Provided that the Directed Share Issue is completed, the Company has undertaken, subject to customary exceptions, not to issue additional shares for a period of 180 calendar days from the settlement date of Tranche 2.

Provided that the Directed Share Issue is completed, the board members Daniel Wikberg and Baltsar Sahlin, as well as the senior executive Ninnie Karlsson have undertaken, subject to customary exceptions, not to sell shares in the Company for a period of 90 calendar days from the settlement date of Tranche 2.

Information for distributors
Solely for the purposes of the product governance requirements contained in: (a) Directive 2014/65/EU on markets in financial instruments, as amended ("MiFID II"); (b) Articles 9 and 10 of Commission Delegated Directive (EU) 2017/593 supplementing MiFID II; and (c) local implementing measures (together, the "MiFID II Product Governance Requirements"), and disclaiming all and any liability, whether arising in tort, contract, or otherwise, which any "manufacturer" (for the purposes of the MiFID II Product Governance Requirements) may otherwise have with respect thereto, the shares in the Company have been subject to a product approval process, which has determined that such shares are: (i) suitable for a target market of retail investors and investors who meet the criteria of professional clients and eligible counterparties, as defined in MiFID II; and (ii) suitable for distribution through all distribution channels as permitted by MiFID II (the "EU Target Market Assessment"). In addition, solely for the purposes of each manufacturer's product approval process in the United Kingdom, the target market assessment for the Company's shares has led to the conclusion that: (i) the target market for such shares is only eligible counterparties, as defined in the FCA Handbook Conduct of Business Sourcebook, and professional clients, as defined in Regulation (EU) No 600/2014 as it forms part of domestic law by virtue of the European Union (Withdrawal) Act 2018 ("UK MiFIR"); and (ii) all distribution channels for such shares to eligible counterparties and professional clients are appropriate (the "UK Target Market Assessment" and, together with the EU Target Market Assessment, the "Target Market Assessment"). Notwithstanding the Target Market Assessment, distributors should note that: the price of the Company's shares may decline and investors could lose all or part of their investment; the Company's shares offer no guaranteed income and no capital protection; and an investment in the Company's shares is suitable only for investors who do not require a guaranteed income or capital protection, who (either alone or in conjunction with an appropriate financial or other adviser) are capable of evaluating the merits and risks of such an investment and who have sufficient resources to bear any losses that may result therefrom. The Target Market Assessment is without prejudice to any contractual, legal, or regulatory selling restrictions in relation to the Directed Share Issue. Furthermore, it should be noted that notwithstanding the Target Market Assessment, DNB Carnegie will only provide investors who meet the criteria of professional clients and eligible counterparties.
For the avoidance of doubt, the Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of MiFID II or UK MiFIR; or (b) a recommendation to any investor or group of investors to invest in, or purchase, or take any other action whatsoever with respect to the Company's shares.
Each distributor is responsible for undertaking its own target market assessment in respect of the Company's shares and determining appropriate distribution channels.
