01 July 2026: Reference is made to the stock exchange announcement published 25
June 2026 by Cloudberry Clean Energy ASA ("Cloudberry" or the "Company")
regarding the Company entering into a share purchase agreement with Orrön Energy
Holding AB ("Orrön Energy") to acquire a majority of its Swedish wind assets and
the remaining 50% of the Finnish onshore wind farm (the "Transaction").
The issuance of the consideration shares as settlement in the Transaction
requires approval by an extraordinary general meeting of Cloudberry, expected to
be convened in early August. Since the announcement of the Transaction on 25
June 2026, the Company has received additional irrevocable voting undertakings
from shareholders to vote in favour of the Transaction in addition to two new
board members nominated by Orrön, reflecting Orröns shareholding in the Company.
In aggregate, the Company has now received irrevocable voting undertakings to
vote in favour from shareholders representing in total approximately 58% of the
outstanding shares in the Company.
