Reference is made to the stock exchange notice by Flyr AS (the "Company") on 16
November 2022 regarding the approval by the extraordinary general meeting of the
Company of, amongst others, the private placement of 25,000,000,000 new shares
in the Company (the "Private Placement") and the allocation of 25,000,000,000
subscription rights, each giving a right to subscribe for one new share in the
Company (the "Subscription Rights").
The following close associate of a primary insider in the Company were allocated
shares in the Private Placement:
Ojada AS, a company closely associated with Erik G. Braathen, the chairman of
the Board of Directors, was allocated 1,000,000,000 shares and 1,000,000,000
Subscription Rights. Subject to issuance of the shares in the private placement,
Ojada AS will hold 1,053,815,719 shares in the Company.
