Reference is made to the stock exchange notice from Norcod AS (the “Company”) on 12 May 2026 regarding the successful completion of a private placement of 8,508,577 new shares in the Company at a subscription price of NOK 10 per share (the “Offer Price”) raising, together with the shareholder loan from Jerónimo Martins Agro-Alimentar S.A, total gross proceeds of approximately NOK 100 million (the “Private Placement”) and a potential subsequent offering of new shares at a price equal to the Offer Price (the “Subsequent Offering”).
The Company hereby calls for an extraordinary general meeting to be held on 27 May 2026 at 10:00 (CEST) at the Company's premises to resolve:
(i) Capital increase to issue the shares in the Private Placement; and
(ii) Authorisation to carry out and to issue shares in the Subsequent Offering.
