&nbsp;Company announcement no. 09-2025May 5, 2025&nbsp;&nbsp;Audientes A/S ("Audientes" or the "Company"), CVR 36047631, announced on May 2, 2025, that convertible loan lender Selandia Alpha Invest A/S ("Selandia") have exercised their rights to convert part of their loan receivables into shares in the Company.&nbsp;The conversion rate has now been recalculated to DKK 0.0188 per share of nominal DKK 0.01, based on the volume-weighted average price (VWAP) of the Audientes share on Spotlight Stock Market over the 10 trading days prior to April 30, 2025. This VWAP is higher than the rate communicated in the company announcement issued on May 2, 2025 (<a href="https://audientes.com/pages/company-announcements/9327214E37698176">CA 08-2025</a>).&nbsp;The converted loan amount remains DKK 0.5 million, increasing the nominal share capital by DKK 265,830.19 (not DKK 355,350.36 as previously stated). This conversion strengthens Audientes' balance sheet by reducing outstanding debt and increasing shareholders' equity.&nbsp;As a result, the number of shares increases by 26,583,019, bringing the total number of shares to 604,503,740.&nbsp;Immediately following the loan conversion and share issuance, Selandia will hold 26,583,019 shares, corresponding to approximately 4.4% of the total share capital-thus remaining below the 5% threshold for flagging.
