Cereno Scientific (Nasdaq First North: CRNO B), an innovative biotech pioneering treatments to enhance and extend life for people with rare cardiovascular and pulmonary diseases, today announced that the company held its Extraordinary General Meeting on October 28, 2026, at the MAQS Advokatbyrå AB’s premises at Masthamnsgatan 13 in Gothenburg, Sweden. Chairperson of the Extraordinary General Meeting (the “EGM”) was lawyer Fredrik Brusberg.
The following main resolutions were resolved upon at the EGM.
Determination of the number of directors
The EGM resolved, in accordance with the Nomination Committee's proposal, that the Board of Directors is to be comprised of six directors without deputies, for the period until the end of next Annual General Meeting.
Election of directors
The EGM resolved, in accordance with the Nomination Committee's proposal, to re-elect the directors Moi Brajanovic, Gunnar Olsson, Anders Svensson, Sten R. Sörensen, and Jeppe Øvlesen, and to elect Johan Eriksson as a new director, for the period until the end of the next Annual General Meeting. It was noted that all proposed directors had accepted their election and that the proposed composition of the Board of Directors meets the applicable requirements under the Swedish Corporate Governance Code.
Election of chairperson of the Board of Directors
The EGM resolved, in accordance with the Nomination Committee's proposal, to re-elect Jeppe Øvlesen as chairperson of the Board of Directors.
