Endomines Finland Plc – Registration of shares based on the conversion of convertible loans
Endomines Finland Plc has on 22 May 2026 registered a total of 2,022,204 new shares with the Finnish Trade Register maintained by the Finnish Patent and Registration Office following the conversion of convertible loans as announced by the Company on 27 April 2026.
The shares have been subscribed based on conversion notices submitted by Wipunen Varainhallinta Oy and Mariatorp Oy. Both parties converted convertible loans in the aggregate amount of EUR 1,335,058.90 each. The conversions relate to three separate convertible loans, the terms of which are identical between the parties.
The conversions were executed on the following terms:
- EUR 1,011,449.32 at a conversion price of EUR 1.12
- EUR 1,040,750.68 at a conversion price of EUR 1.17
- EUR 617,917.81 at a conversion price of EUR 2.67
Following the registration, the total number of shares and votes in Endomines amounts to 38,359,695.
The new shares issued based on the conversions represent approximately 5.27 percent of the total number of shares and votes in the company.
The new shares confer equal shareholder rights with the company’s existing shares as of the date of registration.
Endomines will apply for the admission of the new shares to trading on the official list of Nasdaq Helsinki Ltd, and trading in the new shares is expected to commence on or about 25 May 2026.
