Reference is made to the stock exchange announcement made by Fjord Defence Group
ASA (the "Company") on 26 November 2025 regarding the Company's acquisition of
100% of the shares of Scanfiber Composites A/S ("Scanfiber") from EBC Holding
A/S, EBC Family Invest ApS, and Mytt Holding Aps (together, the "Sellers") (the
"Acquisition").
The Company is pleased to announce that the Acquisition has been successfully
completed today. As authorised by the Company's extraordinary general meeting
held on 18 December 2025, the board of directors has today, 25 February 2026,
resolved to issue 6,870,673 new shares in the Company to the Sellers at a
subscription price of NOK 12.00 per share (the "Consideration Shares"), as part
settlement of the consideration payable by the Company in the Acquisition. The
Consideration Shares will be subject to a lock-up, with 50% of the Consideration
Shares being released after 12 months, and the remaining 50% after 24 months,
calculated from the date of completion of the Acquisition (i.e. from 25 February
2026).
Following registration of the share capital increase pertaining to the issuance
of the Consideration Shares, the Company's share capital will be NOK
535,378,905.60, divided into 63,735,584 shares, each with a par value of NOK
8.40.
