Reference is made to the stock exchange announcement by Golden Energy Offshore
Services ASA (the "Company") published on 12 December 2025 regarding a
successfully completed private placement of 40,000,000 new shares (the "New
Shares") in the Company at a subscription price of NOK 8.00 per share (the
"Private Placement"). Further reference is made to the stock exchange
announcement published on 29 December 2025 regarding the extraordinary general
meeting held in the Company on the same date, which resolved, among other
things, to approve the share capital increase pertaining to the Private
Placement, as well as a share capital reduction where the nominal value of each
of the Company's shares were reduced from NOK 20.00 to NOK 8.00 (the "Share
Capital Reduction").
The Share Capital Reduction and the share capital increase pertaining to the
Private Placement have today been registered with the Norwegian Register of
Business Enterprises. Following the registrations, the Company's new share
capital is NOK 520,675,952, divided into 65,084,494 ordinary shares, each with a
nominal value of NOK 8.00.
