COPENHAGEN, Denmark, 25 August 2026 - Napatech (OSLO: NAPA.OL) today reports
that it will increase its share capital by a nominal amount of DKK 122,025
corresponding to 488,100 new shares as a consequence of exercises of warrants as
part of Napatech's incentive programs.
The shares are fully subscribed in cash at the following subscription prices:
o NOK 618,750 for 307,500 new shares, corresponding to NOK 2.01 per one new
share of DKK 0.25,
o NOK 313,500 for 75,000 new shares, corresponding to NOK 4.18 per one new share
of DKK 0.25,
o NOK 27,300 for 3,000 new shares, corresponding to NOK 9.10 per one new share
of DKK 0.25,
o NOK 98,500 for 5,000 new shares, corresponding to NOK 19.70 per one new share
of DKK 0.25,
o NOK 513,200 for 75,000 new shares, corresponding to NOK 6.84 per one new share
of DKK 0.25, and
o NOK 153,230 for 22,600 new shares, corresponding to NOK 6.78 per one new share
of DKK 0.25.
The new shares are ordinary shares without any special rights and are freely
transferable negotiable instruments. The new shares give rights to dividends and
other rights in relation to the company as of the registration date with the
Danish Business Authority. The new shares will be listed on the Oslo Stock
Exchange as soon as possible thereafter.
The capital increase is carried out without any pre-emption rights for existing
shareholders or others and is expected to be carried out in the next few days.
