Prosafe SE – Issue of new shares and settlement of RSUs

Oslo, Norway, 29 September 2026.

Reference is made to the resolution made by the board of directors of Prosafe SE (“the Company”) of 29 September 2025, where the board resolved to grant certain individuals a number of restricted stock units (RSUs) under the Company's long-term incentive program ("LTIP").
On 28 September 2026 the board resolved to issue 303 590 new shares as settlement of the RSUs that vest on 30 September 2026.
In accordance with the vesting plan for the Company's RSU program, some of the RSUs have been exercisable into shares while the Company has chosen to cash-settle the portion of the RSU awards that represent the tax cost for the relevant recipient.
The following primary insiders of the Company have received a total of 231 047 shares from the settlement of RSUs, as specified below:

Reese Worth McNeel already holds 4 000 shares and, following the issue, will hold a total of 122 122 shares in Prosafe SE.
Ryan Stewart already holds 73 shares and, following the issue, will hold a total of 80 389 shares in Prosafe SE.
