SciBase Holding är verksamt inom medicinteknik. Koncernen är specialiserad inom hantering av cancerdiagnostik, främst inriktat mot behandling och upptäckandet av diverse melanom. Bolaget har utvecklat en elektrisk handhållen prob som analyserar mätsignalen för att upptäcka specifika förändringar i kroppens hudvävnad. Huvudkontoret ligger i Stockholm.

Aktien rusar av någon anledning. Åtminstone ser jag inga nyheter.

Nu söker man tydligen i samband med en nyemission en lösning på denna komplicerade kapitalstruktur på grund av TO2-warrantarna. Mistä noita warrantteja saa ostaa? Kuulostavat erittäin kiinnostavalta sijoitukselta jos juoksuaika on noin pitkä.

Kiitos näkemyksistä. Osaako kokeneemmat sijoittajat arvioida, onko kuinka yleistä, että optioiden käyttämisen aikaväli on asetettu noin pitkälle aina vuoteen 2029 kevääseen asti?  Tuntuu kovin pitkältä aikaväliltä. Tämä on kyllä iso hidaste kurssinousulle, vielä kun optioita on lunastettavissa niin valtava määrä. Vai miten te muut näette asian?

Mielenkiintoinen firma ja melanooman yleistymisen myötä markkinan luulisi kasvavan. Itse omistin tätä pienen erän, mutta noi warrantit tuntuvat estävän isomman kurssinousun. Lisäksi liikevaihdon kasvu on ollut sen verran hidasta, että uusi osakeanti (ja lisää warrantteja) taitaa olla taas edessä loppuvuodesta. Työntekijämäärä on nyt hieman kasvanut, ilmeisesti USA:n myyntiorganisaatiota on vahvistettu?

Juu seuranta tosiaan harmillisesti loppui jo tovi sitten niin meiltä ei ole tuoreita kommentteja saatavilla. Jos osakkeen hinnanmuodostusta miettii niin tämä kohta seurannan lopetuksesta on hyvin olennainen pitää mielessä:  We highlight that the high number of TO2 warrants (strike price SEK 0.42) has a significant impact on the valuation of the company and investors should evaluate the warrants’ claim on the company’s equity value when assessing the valuation of the stock.

Consequently, we will no longer give the stock a target price (prev. 0.45 SEK) or recommendation (prev. Reduce).

Q3 figures slightly exceeded expectations, and the company continues to progress in the right direction. Scibase also announced an expanded collaboration with Castle Biosciences, a SEK20m convertible loan, the repurchase of TO 2 warrants, and a SEK83m rights issue. We see the repurchase of TO 2 as supportive for future share-price development. Additionally, the SEK83m rights issue (&gt;80% covered by subscription commitments and intentions) removes short-term liquidity risk. Although the buyback of TO 2 and the share issue cause near-term dilution, they pave the way for investors to focus more clearly on Scibase’s underlying growth prospects.
