Magnus Sparrholm, Founder and Executive Director of Talkpool, Sells 333,000 Shares to Applied Invest Nordics AB and 111,000 Shares to Kråkudden Invest AB in Connection with Incentive Program Commitments
Talkpool announces that its founder and executive director, Magnus Sparrholm, has sold 444,000 shares to two Swedish companies with Bruce Grant and Johan Lindqvist as ultimate owners. The transaction has been carried out to fulfil obligations under Talkpool's previously disclosed incentive program.
Background - The Incentive Program
On 12 April 2024, Talkpool announced the structure of its approved incentive program (the "Incentive Program"). The program consists of four sub-programs, each with its own execution window:
The Incentive Program grants participants call options linked to shares owned by Magnus Sparrholm. As a result, the program does not dilute the company's share capital. The total number of shares that can be allocated under all sub-programs is capped at 2,000,000.
Completion of Sub-Program 1
On 1 July 2025, Talkpool announced the successful completion of Sub-Program 1.
To fulfil these commitments under the program, including granting payments of EUR 0.5 per option, Magnus Sparrholm has now executed the sale of 444,000 shares at a price of SEK 12 per share.

Post-Transaction Shareholding
Following the transaction, Magnus Sparrholm holds 1,770,418 shares, corresponding to 23.1% of the company's capital and voting rights.
