NYAB considers re-domiciliation to Sweden and listing on Nasdaq Stockholm

The company announced on Wednesday that it considers changing its domicile from Finland to Sweden and a simultaneous listing on Nasdaq Stockholm. However, no decisions have yet been taken regarding the transfer of domicile or the change of marketplace / possible dual listing, but NYAB expects to be able to provide further information on this during H2’23.

The company is considering re-domiciliation to Sweden and listing in Stockholm

NYAB has previously announced that it is exploring options for the most appropriate marketplace for the company. The company has announced that one of the options is a potential dual listing in Stockholm. On Wednesday, the company announced that as part of its inquiries it is now also considering moving the domicile of the parent company from Finland to Sweden and a simultaneous listing on Nasdaq Stockholm. According to the company's preliminary assessment, the transfer of domicile would enable better conditions for a listing or dual listing in Stockholm.

According to NYAB, a listing in Stockholm would likely provide better access to the capital markets and improve the liquidity of the share. In addition, the majority of NYAB’s business operations are conducted in Sweden (76% of 2022 reported revenue) and most of the company’s shares are held by Swedish shareholders, which together would support the decision to change domicile and marketplace to Sweden. The feasibility of a potential arrangement is currently being analyzed and no decisions have yet been made to transfer the domicile or on the change of marketplace / possible dual listing. The company expects to be able to provide further information on the possible transfer during H2’23.

We do not think the plans come as a surprise considering the plans previously communicated by the company and the structure of the current business and ownership. However, the plans have no immediate effects on our estimates for NYAB or our view of the company.
