<div class="mfn-preamble"><p><strong>Key employees within Berner Industrier have acquired warrants.</strong></p></div><div class="mfn-body"><p>The Annual General Meeting of Berner Industrier AB resolved on April 29, 2025 to issue a maximum of 400,000 warrants. Each warrant entitles the holder to subscribe for one Class B share in the company during the period from 1 November 2028 up to and including 30 November 2028 for a subscription price of SEK 114.83. The subscription price corresponds to 150 percent of the volume-weighted average price of the Company's Class B shares on Nasdaq Stockholm during the period from and including October 20, 2025 up to and including October 31, 2025.<br>All warrants are held by the parent company, Berner Industrier AB, of which 223,500 warrants have subsequently been transferred to key personnel in the Group on market terms.
