Aspo Plc established a Performance Matching Share Plan for key employees

The Board of Directors of Aspo Plc resolved to establish a new Performance Matching Share Plan 2026––2030 for the key employees of Aspo Plc and Telko Oy. The aim of the new plan is to align the objectives of the shareholders and the key employees in order to increase the value of the company in the long term. The plan is intended to encourage key employees to personally invest in the company’s shares, to steer them toward achieving the strategic objectives, to retain them at the company, and to offer a competitive incentive plan that is based on acquiring, earning and accumulating Aspo Plc shares. Following the planned partial demerger of Aspo Plc, ESL Shipping Group Plc may resolve on possible separate incentive plans for its key employees.

The Performance Matching Share Plan 2026–2030 comprises three performance periods, covering the financial years 2026–2028, 2027–2029 and 2028–2030. The Board resolves on the details of each performance period annually.

During the first performance period 2026–2028, it is possible to earn a guaranteed matching reward and a performance matching reward. The guaranteed matching reward is determined based on the fulfilment of the share ownership prerequisite and continuous shareholding during the performance period. The performance matching reward is in addition determined based on the achievement of the targets set for the performance period. The performance criteria for the 2026–2028 period are Net Sales (weight 40%), Comparable EBITA (weight 40%), and an ESG metric (weight 20%) in the financial year 2028. The achievement of the targets set for the performance criteria will determine the final proportion out of the maximum reward that will be paid as a performance-based reward to the participants.

The prerequisite for participation in the plan and receiving a reward on the basis of the plan is that a participant owns and commits Aspo Plc shares up to the number determined by the Board of Directors. Furthermore, the payment of the reward is based on the participant´s valid employment or service upon the reward payment.

The target group of the first performance period 2026–2028 consists of approximately 27 persons, including the CEO and other members of the Executive Committee. The rewards to be paid on the basis of the first performance period correspond to the value of an approximate maximum total of 511,000 Aspo Plc shares, including also the proportion to be paid in cash. The final number of shares will depend on the participants’ personal share acquisitions and the achievement of the targets set for the performance criteria.

The rewards from the 2026–2028 performance period will be paid partly in the company’s shares and partly in cash by the end of May 2029. The cash proportion is intended to cover taxes and statutory social security contributions arising from the reward to the participant. In general, no reward will be paid if a participant´s employment or service terminates before the reward payment.
