(Nedre Vats, August 13, 2026): AutoStore Holdings Ltd. (AutoStore, OSE: AUTO), the global leader in Intelligent Fulfillment, announces that its Board of Directors has authorized a share buy-back program of up to USD 75 million.

At its Capital Markets Day in September 2024, AutoStore outlined the following capital allocation priorities:

  1. Reinvest in the business to support organic growth and continue defining the industry through innovation
  2. Maintain flexibility for strategic M&A, including technology and adjacent markets
  3. Consider options for shareholder returns, including share buy-backs and dividends

With continued commercial progress and a further strengthening of the Group's financial position, AutoStore today announces the launch of a share buy-back program. The purpose of the program is to return excess capital to shareholders while maintaining full focus on driving the Company's long-term growth. The Company continues to see opportunities to invest in the business to drive organic growth and will continue to assess selective acquisition opportunities that accelerate its reach into adjacent markets. Supported by the strength of AutoStore's balance sheet and strong cash generation, these priorities can be pursued alongside a share buy-back program.

"We are confident that our strong cash generation and solid financial position enable us to launch a share buy-back program while continuing to drive strong growth in our business", said Mats Hovland Vikse, CEO. 

Under the share buy-back program, AutoStore may purchase shares for a maximum amount equivalent to USD 75 million, limited to 10% of the total outstanding shares, from the open market, subject to market conditions. The share buy-back program will commence on August 13, 2026 and is anticipated to continue until December 31, 2026. The shares repurchased under the buy-back program will be cancelled.

The Company has put in place an agreement with DNB Carnegie ("DNBC") for the repurchase of the Company's shares in open market transactions on the Oslo Stock Exchange ("OSE"). Repurchases will be completed in accordance with the Market Abuse Regulation (EU) No. 596/2014 ("MAR") and Commission Delegated Regulation (EU) 2016/1052.
