The Board of Directors of Boozt has resolved that the remaining part of the ongoing share buyback programme of up to SEK 300 million will be carried out under the safe harbour provisions of the EU Market Abuse Regulation (MAR) and Commission Delegated Regulation (EU) 2016/1052 (the Safe Harbour Regulation). The programme is otherwise unchanged.
The programme was launched on 24 April 2026, authorised by the Annual General Meeting on 23 April 2026, and was expanded from SEK 200 million to SEK 300 million in August 2026. Under the programme, Boozt has repurchased 1,669,308 shares for a total amount of SEK 221 million. The remaining part of the programme amounts to up to SEK 79 million. Since the Capital Markets Day in 2023, Boozt has repurchased own shares for a total of more than SEK 1 billion.
The purpose of the share buyback programme is to reduce the company’s share capital and to secure the company’s obligations related to its long-term incentive programmes.
Repurchases will be managed by Nordea Bank Abp, which makes its trading decisions regarding the timing of the repurchases independently of Boozt.
The remaining part of the programme will be conducted in accordance with the following terms and conditions:
Boozt holds 4,035,222 own shares, of which 1,744,867 are C-shares, representing 6.5% of the share capital. The total number of shares in Boozt amounts to 62,000,000, of which 1,744,867 are C-shares.
