The Annual General Meeting of Proact IT Group AB (publ) was held on 5 May 2026 in accordance with the previously published notice.

The following resolutions were adopted at the meeting:

  • Approved the income statement and balance sheet included in the 2025 Annual & Sustainability Report, as well as the consolidated income statement and consolidated balance sheet.
  • Resolved, in accordance with the Board's proposal, to pay a dividend of SEK 2.60 per share for the 2024 financial year. The record date was set for 7 May 2026, and the dividend is expected to be distributed on 12 May 2026 via Euroclear Sweden AB.
  • Discharged the members of the Board of Directors and the Chief Executive Officer from liability for the management of the company during the 2025 financial year. It was noted that the individuals concerned did not participate in the resolutions concerning their own discharge.
  • Resolved, in accordance with the Nomination Committee's proposal, that the Board shall consist of five ordinary members with no deputies.
  • Set total Board remuneration at SEK 2,415,000, of which SEK 675,000 shall be paid to the Chair and SEK 310,000 to each of the other members. SEK 500,000 was allocated for committee work.
  • Resolved that the auditor's fee shall be paid in accordance with approved invoices.
  • Re-elected Anna Söderblom, Martin Gren, Annikki Schaeferdiek, Erik Malmberg and Jon Risfelt as ordinary Board members. Anna Söderblom was re-elected as Chair of the Board.
  • Elected PricewaterhouseCoopers AB as the company's auditor until the conclusion of the Annual General Meeting 2027.
  • Resolved, in accordance with the Nomination Committee's proposal, on principles for appointing the Nomination Committee ahead of the Annual General Meeting 2027.
  • Approved the Remuneration Report pursuant to Chapter 8, Section 53a of the Swedish Companies Act.
  • Approved the Board's proposal to implement a share-based incentive scheme - the Performance Share Programme 2026 (item 16A).
  • Approved the Board’s proposal regarding hedging measures in connection to the Performance Share Program 2026 (item 16B).
  • Resolved, with the required majority, to authorise the Board to issue new shares.
  • Resolved, with the required majority, to authorise the Board to acquire and transfer own shares.
  • Resolved, with the required majority, to authorise the Board to reduce the share capital through cancellation of shares and to increase it through a bonus issue.

The Chair of the Annual General Meeting was Anna Söderblom, Chair of the Board of Directors.
