Exercise of warrants in Ambea's incentive program 2022/2025

15 senior executives and key employees have chosen to make full use of the opportunity to subscribe for shares in Ambea's long-term incentive program 2022/2025 by exercising warrants. A total of 247 017 warrants have been exercised, each of which entitles the holder to subscribe for one (1) new share in Ambea at a subscription price of SEK 56.20 per share, corresponding to 115 percent of the average volume weighted price of Ambea's share during the period of five (5) trading days falling immediately before the offer for subscription of the warrants. As a result, Ambea will receive approximately SEK 14 million in cash.

To finance the share subscription, the warrant holders have sold in total 243 517 shares at a value of approximately SEK 26 million. The sale of the shares was carried out through DNB Carnegie Investment Bank (publ) in the market. To facilitate the transaction, an existing shareholder has lent 243 517 shares in Ambea to these warrant holders, who have undertaken to return these shares without delay as soon as practically possible after the share subscription has been registered.
