Reference is made to the stock exchange announcements published by Fjord Defence
Group ASA ("Fjord Defence Group" or the "Company") on 17 and 18 June 2026
regarding the successful private placement of 25,000,000 new shares in the
Company (the "Offer Shares") at a price per Offer Share of NOK 16.50 (the "Offer
Price"), raising gross proceeds to the Company of approx. NOK 412.5 million (the
"Private Placement"), and a potential subsequent repair offering of up to
2,500,000 new shares in the Company (the "Subsequent Offering") at a
subscription price equal to the Offer Price.
Following the announcement of the completion of the Private Placement on 18 June
2026, more than 1.1 million shares have been traded on Euronext Oslo Børs at or
below the Offer Price, with a volume-weighted average price (VWAP) per share of
NOK 16.35, i.e. below the Offer Price.
Accordingly, existing shareholders wishing to reduce the dilutive effect of the
Private Placement has had sufficient opportunity to purchase shares in the
market at prices at or below the Offer Price. On this basis, the board of
directors of the Company has today resolved to cancel the Subsequent Offering.
