Framery launches a share buyback programme of EUR 10 million

Framery Group Plc’s (”Framery” or “the company”) Board of Directors has today resolved to launch a share buyback programme based on the authorisation granted by the Annual General Meeting held on 27 April 2026. The aggregate purchase price of the Framery shares acquired under the programme shall not exceed EUR 10 million and the maximum number of Framery shares that can be repurchased is 1,500,000 shares, corresponding to 1.89 per cent of the total number of issued and outstanding shares in Framery. The buyback programme will commence at the earliest on 15 September 2026 and end no later than 31 March 2027. The programme may be discontinued or concluded prior to the intended end date, in which event the company will publish a stock exchange release to that effect.

The shares will be acquired through public trading organized by Nasdaq Helsinki at the market price prevailing at the time of acquisition. 

The repurchases will be carried out in accordance with the so-called safe harbour rules referred to in Article 5 of the EU Market Abuse Regulation (EU N:o 596/2014). Framery has appointed an independent financial intermediary as the manager of the share buyback programme. The intermediary will make all trading decisions independently subject to the terms of the programme and applicable regulation.

The repurchases will be carried out by using funds in the unrestricted shareholders’ equity. The purpose of the repurchased shares is to reduce the capital of Framery, and the repurchased shares will be cancelled quarterly. At the time of this release, Framery or its group companies do not hold Framery shares.

Framery will report the share repurchases via stock exchange releases published on a weekly basis.
