The Board of Directors of Incap Corporation has decided to initiate a share buyback programme based on the authorisation given by the Annual General Meeting held on 20 May 2026. The authorisation is valid for one year from the resolution by the Annual General Meeting.

The maximum number of shares to be repurchased is 1,471,860 shares, corresponding to approximately 5% of the total number of the company shares which is 29,447,627. The shares will be repurchased using the company’s unrestricted equity through public trading on Nasdaq Helsinki. The price for the shares will be based on the price prevailing on the market on the day of the repurchase in public trading. The maximum monetary amount to be used for the share repurchases is EUR 15 million. The repurchased shares will be cancelled on a monthly basis.

The share repurchase shall start on 6 August 2026 at the earliest and end by 15 April 2027 at the latest. The shares will be repurchased for the purpose of developing the company’s capital structure. Currently, the total number of own shares held by Incap Corporation is 0 shares.

“While pursuing profitable organic growth opportunities remains the company’s highest priority, we believe that Incap’s strong balance sheet and expected operating cash flows provide sufficient flexibility to return excess capital to shareholders. The decision to initiate the share buyback programme follows a careful assessment of the company’s capital allocation alternatives and reflects the Board’s view that the repurchase represents an attractive use of capital and is in the best interests of shareholders,” says Ville Vuori, Chairman of the Board.

The share buybacks are executed in compliance with Regulation No. 596/2014 of the European Parliament and Council (MAR) Article 5 and the Commission Delegated Regulation (EU) 2016/1052.

The company has appointed Nordea as the independent financial intermediary to carry out the share repurchases. Intermediary will make all trading decisions regarding the timing of the purchases independently of the company, subject to the terms of the programme and applicable regulation. The repurchase of shares may be temporarily paused, suspended or terminated before the scheduled end date. In such cases, the company will announce the matter in a stock exchange release. The company will publish a stock exchange release reporting the transactions carried out under the programme on a weekly basis.
