F-Secure is a technology company. The company specializes in the area of cyber security. Sopimuksen toteutuminen näyttää mielestämme hyvin todennäköiseltä, ja se vahvistaa ensi vuoden kasvunäkymää                             F-Secure updated its disclosure policy a while ago, and based on that, I outlined the possible scale of the agreement:  According to F-Secure’s disclosure policy, the threshold for customer agreements to be disclosed as a stock exchange release is either 7 percent in a single year or a total of 15 percent over three consecutive years of F-Secure’s current year’s revenue. In light of this, by applying the first condition, the value of the agreement would be at least EUR 10 million according to our calculations. In light of the second condition, the agreement could be over EUR 20 million over the next 3-year period.

Thanks, @Atte_Riikola, very precise operations from the company. I suppose the markets will gradually start to believe in the company, and the rapid decrease in indebtedness in the coming years, as projected by Inderes, seems quite credible, as the business generates good cash flow. Exceptionally, in this company, I would even approve freezing the dividend until indebtedness figures are below 100%. Bloomberg probably already knows the counterparty to the agreement soon

I also wondered at first why it was being announced in advance. I asked the company about it, and it’s related to the fact that at this point, it’s no longer possible to ensure that this matter remains internal. However, several people at both F-Secure and this probable future client now have knowledge of this deal in preparation. The matter had also been discussed with the stock exchange and Fiva, and this solution was ultimately reached.

Is this a new trend, announcing unfinished negotiations, given that Summa also announced a potential big deal a week or so ago… well, I believe F-S will at least bring it home.

The company will issue a press release and provide further details on the value of the agreement and the customer’s name once the agreement has been signed. By the way, where did this practice come from for F-Secure, announcing major customer negotiations while they are still ongoing? The same thing happened in the spring. Upon closer recollection and checking the matter, the agreement had already been concluded then, but the partner was kept secret for the time being until it was announced a little later. Atte and Roni have prepared a new company report on F-Secure after the Q3 releases.  The company’s Q3 result was in line with expectations, and based on the report, we made only minor adjustments to our forecasts. In embedded security, the new contracts won by the company and the large deals in the sales pipeline support next year’s growth outlook, which the flat performance of the Total business may, however, hinder. The stock’s valuation (2025e adj. P/E 10.5x) still does not price in virtually any growth expectations. Thus, in our opinion, the risk-reward ratio still favors waiting for growth to pick up while holding the stock. Today, it seems there were several block trades, totaling almost 2.2 million shares. In my opinion, the mass selling of shares under SEB’s nominee registers, as seen at https://www.investors.f-secure.com/fi/sijoittajat/osaketieto/osakkeenomistajat, has undoubtedly affected the share price development in recent years. If we take 31.12.2024 as a reference point, almost 5 million shares have been sold by the end of September this year, or by 31.12.2023, the total rises to almost 9 million shares, and going even further back to 31.12.2022, over 16.5 million shares have been sold. It’s therefore not difficult to guess who the seller in today’s block trades is. In contrast, in WithSecure Osake | WithSecure™, SEB’s nominee registers still owned 14% of the company’s shares at the end of September, so it cannot be unequivocally concluded that the demerger alone caused this exodus from F-Secure on the grounds that the company’s size became too small after the demerger. One can only guess the reason behind the sales, and of course, the company’s own long-term performance will determine the direction of the share price. It will be interesting to see if there is any buying pressure on the stock when WithSecure’s owners cash in their tender offer funds at the turn of the month. Addition: Somewhat amusingly, SEB issued a target price change right after my writing, from Kauppalehti’s flash news: SEB lowers F-Secure’s target price to 2.10 euros (previously 2.20), reiterates buy recommendation.
