Jumpgate makes a conversion share issue of debt comprising ca 0.16 MSEK

Jumpgate´s board of directors has decided to make a conversion share issue of 57,742 shares directed to ATO Consulting GmbH. The subscription price is 2.82 SEK per share. The share issue is done based on the mandate from the General Meeting on May 13, 2026.

Through the share issue, debt of a total value of 162,832.44 SEK is converted to equity. The new shares shall be issued to a subscription price of SEK 2.82 per share. The subscription price has been determined corresponding to the closing price on April 30, 2026. The part of the subscription price that exceeds the quota value shall be transferred to the free share premium fund.

Background and Motivation
The purpose of the conversion of debt to equity is to decrease the debt level of the company and to pay consultancy fees while protecting the company´s cash position. The board of Jumpgate has carefully considered different financing solutions in light of the Company’s current stage of commercialisation, increased market presence and need for financial flexibility. The board, however, is of the opinion after weighing the available options, that the conversion share issue is the most effective and expedient way to deal with the owed consultancy fees. A rights issue would additionally be more time and resource demanding compared with the conversion share issue, not the least due to the work of securing the rights issue and the fact that there are no guarantees that such a share issue would be fully subscribed. The conversion share issue is thus considered the more advantageous alternative compared with a rights issue, and is objectively in the best interest of the Company as well as its shareholders.

Increase of share capital and number of shares
The registered share capital of the company is increased by 2,020.97 SEK and the directed conversion share issue has a dilutive effect of ca 0.3 percent based on the total number of shares following the share issue. After the share issue, the total number of shares and votes in the company comprise 19 123 956 and the registered share capital amounts to 669,338.46 SEK.
