<pre>Reference is made to the stock exchange announcement made by KMC Properties ASA (the "Company" or "KMC Properties") on 14 June 2024 regarding the proposed combination of the Company and Logistea AB (publ.) ("Logistea") and the stock exchange announcement made on 22 October 2024 whereby the board of directors called for an extraordinary general meeting of the Company to, inter alia, resolve on the second distribution of consideration shares in Logistea as dividend in kind to the shareholders of the Company. Furthermore, reference is made to the stock exchange announcement made on 23 October 2024 regarding key information relating to the dividend in kind and to the stock exchange announcement made on 7 November 2024 regarding updated key information relating to the dividend in kind. Updated key information related to the dividend in kind is set out below. Dividend amount: A-shares and B-shares in Logistea for a total amount of maximum NOK 1,354,009,465.93. If the total value of the Company's A-shares and B-shares in Logistea at the payment date equals a lower amount than NOK 1,354,009,465.93, assets for the lower amount shall be distributed. If the distribution had been made today, the value of the distributed assets would have been NOK 1,212,281,029.80 (i.e. NOK 2.91 per share in the Company). It should be noted that the value of the assets to be distributed will fluctuate with the share price for the Logistea A-shares and B-shares at Nasdaq Stockholm and the SEK/NOK exchange rate, and the value of the distribution may accordingly be higher or lower than today's amount.
