Norsk Titanium AS: Extraordinary General Meeting held and resolution to issue Tranche 2 shares

Oslo, 2 July 2026. Norsk Titanium AS (the "Company") completed an extraordinary
general meeting conducted digitally.

All items on the agenda were resolved in accordance with the board of directors'
(the "Board") proposals, including i) the issuance of 129,539,800 new shares
(the "Tranche 2 Offer Shares") in connection with tranche 2 of the private
placement ("Tranche 2") announced on 18 June 2026, and ii) granting the Board an
authorization to increase the Company's share capital in connection with the
contemplated subsequent offering as announced on 18 June 2026.

Following registration of the share capital increase in the Norwegian Register
of Business Enterprises pertaining to Tranche 2, the Company will have a share
capital of NOK 103,157,669.76 divided into 1,289,470,872 shares, each share
having a par value of NOK 0.08 and representing one vote in the Company's
general meeting.

The minutes from the extraordinary general meeting are enclosed hereto and will
also be made available on the Company's website (www.norsktitanium.com), in the
Investors section.
