Reference is made to the announcement made on 5 March 2023 regarding the
contemplated sale of PatientSky Group AS' indirect subsidiaries PatientSky SaaS
Norway AS and PatientSky App AS, to EG Norge AS, a wholly-owned subsidiary of EG
Denmark A/S (the "Transaction").
PatientSky is pleased to inform that the Transaction today has been completed.
Reference is also made to the announcement made on 13 April 2023 where
PatientSky Group AS notified Nordic Trustee AS of the exercise of its call
option for the remaining outstanding bonds under the bond issue "PatientSky
Group AS - NOK 500,000,000 Senior Secured Bonds (With ISIN NO0010907348)".
The exercise of the call option was subject to certain conditions as set out in
the Call Option Notice being satisfied no later than on 24 April 2023.
We hereby confirm that the conditions to the call option have been satisfied,
and all outstanding bonds will be redeemed as planned. The outstanding bonds
will be repaid at 106.75370% of the Nominal Amount for each redeemed bond (plus
accrued and unpaid interests on the redeemed amount), with settlement date on 27
April 2023.
