In accordance with the authorization granted by the annual general meeting on 11
May 2023, the Board of Directors of Proximar Seafood AS has resolved to grant
share options pursuant to the incentive program.
A total of 1,539,382 share options has on 14 July 2023 been granted to primary
insiders, distributed as follows:
· Joachim Nielsen (CEO) has been granted 794,382 share options
· Pål Grimsrud (CFO) has been granted 75,000 share options
· Dharma Rajeswaran (COO) has been granted 250,000 share options
· Lars Stigaard (CTO) has been granted 250,000 share options
· Vivian Lunde (Director ESG & Business operations) has been granted 50,000
share options
· Marius Birkenes (Director Strategy) has been granted 50,000 share options
· Keisuke Nakayama (Business Development Director) has been granted 50,000 share
options
· Charlotte Okstad (H&N manager) has been granted 10,000 share options
· Nikolaj Schlie (PSG manager) has been granted 10,000 share options
The exercise price is NOK 7 per share. Each share option gives the right to
purchase one share in Proximar Seafood AS. The options granted shall vest with
1/3 upon the grant date, 1/3 on the first anniversary of the grant date and 1/3
on the second anniversary of the grant date. The options must be exercised
within 2 years from vesting. For Mr. Grimsrud, the share options will be granted
without vesting period.
