Citycon is active in the real estate industry. The company acquires, develops and manages properties, mainly commercial premises and shopping centers in major Nordic and Baltic cities. The vision is to be a long-term player that contributes to the development and modernization of the property portfolio. The company was founded in 1988 and has its headquarters in Espoo.

The list of shareholders has been updated. Interesting observations include, for example, that board member Eero Sihvonen has sold only about 1/3 of his shares. He still holds about 40,000 shares. Some other minor things just went by:  The Board proposes that the Board be authorized to decide on a share issue and the granting of special rights entitling to shares as referred to in Chapter 10, Section 1 of the Companies Act, by one or more decisions, as follows. The total number of shares to be issued under the authorization may be a maximum of 16 million shares, which would correspond to approximately 8.72 percent of all registered shares in the Company. Any shares issued under special rights entitling to shares are included in the aforementioned maximum number of shares. The Board decides on all terms and conditions of the share issue and the granting of special rights entitling to shares. The authorization concerns both the issuance of new shares and the transfer of own shares. The share issue and the granting of special rights entitling to shares may take place in deviation from the shareholders’ pre-emptive right through a directed share issue.  To whom could an independent board direct that?   And the continuation comes right after, if this, then you can always:  "The Board proposes that the Board be authorized to decide on the acquisition and/or pledge of the Company’s own shares in one or more tranches as follows. The total number of own shares to be acquired and/or pledged may be a maximum of 30 million shares, which would correspond to approximately 16.34 percent of all registered shares in the Company. Own shares may be acquired at the price formed in public trading on the acquisition date or at another market-based price."  Who could such a thing benefit? What if one were to buy such shares from somewhere and then eliminate them? Hypothetically speaking, there’s probably no conspiracy behind this

I was at the extraordinary general meeting on Monday, where I gave the only speech. The CEO was there in a sweater, and his demeanor wasn’t entirely convincing (even if it was surely an expensive sweater). He said that the €0.90 capital repayment would be financed as follows: “We have money, and there have also been some discussions about selling properties.” I hope it leans more towards the latter. I personally opposed distributing the money purely because I fear for the company’s financial sustainability. Of course, I’ll gladly accept the money, as it was decided. I sincerely hope that news will start pouring in now about properties being sold at or near their book value.

Indeed, the share has recovered quite well from yesterday morning’s rabbit hole, into which it briefly fell after the capital repayment detached. Now the comparable price is around 4.20 (precisely 3.118 at the time of writing), when compared to the tender offer period before the 0.20 + 0.90 capital repayments. It hasn’t developed particularly well yet, but it’s hard to see the price going much below 2.90 after funds, due to their rules, and late-comer board members sold their last shares after the tender offer closed. I still have all my shares, including 2000 units that I bought the day before the large capital repayment detached. There’s a bit of an expectant feeling; hopefully, the “Catman” plays fair now and lets Citycon’s share price rise significantly and quickly so that I can reasonably lighten some of the worst leverage and, for once, get some joy out of the rabbit.

This title is perhaps more for the coffee room, but:  Jeez, these Arvopaperi (Securities) articles, they mention everyone else’s dividends, but they forget to mention the biggest decliner. Whose capital repayment was greater than the share price drop. The brightest star in Finnish financial journalism. Generally, the price corrected quite well from the morning’s rabbit hole, ending 78 cents below yesterday’s closing price (when the 90 cent capital repayment was detached). If after the turn of the month the price falls back below 2.90, then Katzman may very well continue buying, as long as he gets the capital repayment to his account. However, I consider it more likely that the price will escape northeast, as the stock’s free float is quite thin and at this level, willing sellers have probably already sold.
