Sdiptech AB (publ) (“Sdiptech” or the “Company”) today announces the results of the invitation to the holders of its outstanding SEK denominated senior secured sustainability-linked bonds 2023/2027 with ISIN SE0017132053 maturing in August 2027 (the "Bonds") to tender their Bonds for purchase by the Company, as announced on 31 August 2026 (the “Tender Offer”).
At the expiration of the Tender Offer at 12.00 CEST on 4 September 2026, the Company had received valid tenders in an aggregate principal amount of SEK 260 million. Sdiptech hereby confirms that the New Financing Condition (as defined in the tender information document dated 31 August 2026, which is available on Sdiptech’s website, www.sdiptech.se) has been fulfilled and that Sdiptech will accept all valid tenders received and complete the Tender Offer.
The purchase price for the Bonds validly tendered was set at 101.98 per cent of the nominal amount plus accrued but unpaid interest. The settlement date for the Tender Offer is expected to be 9 September 2026.
Sdiptech also confirms that the condition set-out in the conditional notice of early redemption issued on 1 September 2026 to the holders of the Bonds (the “Call Notice”) has been satisfied. As a result, the early redemption contemplated by the Call Notice will be carried out on 25 September 2026.
