Reference is made to Sikri Holding ASA's ("the Company" or "Sikri") stock
exchange announcement on 22 November 2022 regarding completion of the private
placement of NOK 100 million.
The following primary insiders, or close associates of primary insiders were
allocated shares under the private placement:
Karbon Invest AS, a close associate of Jens Rugseth, a Board member, was
allocated 20,000 shares. After completion of the share capital increase, Karbon
Invest AS holds 44,464,003 shares in the Company.
Varner Invest AS, a close associate of Espen Karlsen, a Board observer, was
allocated 1,666,666 shares. After completion of the share capital increase,
Varner Invest AS holds 12,853,156 shares in the Company.
Stella Industrier AS, a close associate of Fredrik Cappelen, M&A advisor to the
Board, was allocated 1,666,666 shares. After completion of the share capital
increase, Stella Industrier AS holds 15,095,825 shares in the Company.
Furthermore, Stella Industrier AS has on 22 November 2022 entered into a share
lending agreement with ABG Sundal Collier ASA, Arctic Securities AS and
SpareBank 1 Markets AS ("the Managers") and is expected to lend to the Managers
a total of approximately 1,500,000 shares to facilitate DVP settlement in the
private placement.
Carucel Finance AS, a close associate of Preben Rasch-Olsen, a Board member, was
allocated 1,666,666 shares. After completion of the share capital increase,
Carucel Finance AS holds 15,604,794 shares in the Company. Furthermore, Carucel
Finance AS has on 22 November 2022 entered into a share lending agreement with
the Managers and is expected to lend to the Managers a total of approximately
1,500,000 shares to facilitate DVP settlement in the private placement.
Rasche Investeringer AS, a close associate of Preben Rasch-Olsen, a Board
member, was allocated 125,000 shares. After completion of the share capital
increase, Rasche Investeringer AS holds 574,825 shares in the Company.
Erling Olaussen, Director Consumer/Boligmappa, a primary insider, was allocated
20,000 shares. After completion of the share capital increase, Erling Olaussen
holds 34,055 shares in the Company.
Anny Bratterud, HR Director, a primary insider, was allocated 5,000 shares.
After completion of the share capital increase, Anny Bratterud holds 7,730
shares in the Company.
Arild Elverum, Director Private/Ambita, a primary insider, was allocated 15,000
shares. After completion of the share capital increase, Anny Bratterud holds
15,000 shares in the Company.
Sigrun Syverud, a Board member, a primary insider, was allocated 3,000 shares.
After completion of the share capital increase, Sigrun Syverud holds 17,055
shares in the Company.
