Summa Defence Oyj: Release from Transfer Restriction of Summa Defence Plc Shares to Enable Pledging by Helmi Venture Oy and Block Trades by Jukka Pietilä and Emilia Koivisto

Jukka Pietilä, Emilia Koivisto and Helmi Venture Oy have previously undertaken to comply with an 18-month transfer restriction concerning the shares they hold in Summa Defence Plc, effective from the completion of the merger between Meriaura Group Plc (currently Summa Defence Plc) and Summa Defence Oy (currently Summa Holding Oy). Pursuant to the terms of the transfer restriction undertakings, any pledge or block trade of the company's shares requires the consent of the Board of Directors of Summa Defence Plc.

Summa Defence Plc has received a request from Jukka Pietilä and Emilia Koivisto on 8 September 2025, in which both are asking for permission to sell up to 20% of their shares in Summa Defence Plc as a block trade. The trades are intended to be carried out over four months, with each individual trade not exceeding 5% of the person's current ownership.

Summa Defence Plc has granted its consent for the aforementioned block trades as requested, meaning that Jukka Pietilä and Emilia Koivisto each have the right to sell up to 20% of their shares in Summa Defence Plc as block trades without the obligation to transfer the disposal restriction on the shares. The shares may be sold in multiple batches, each not exceeding 5%. The permission is valid for four months.

Summa Defence Plc has received a request from Helmi Venture Oy on 17 September 2025, in which the company asks for permission to pledge its shares in Summa Defence Plc if necessary.

The Board of Directors of Summa Defence Plc has granted its consent to the pledge and has approved the release of the necessary number of shares held by Helmi Venture Oy from the transfer restriction to enable the pledge.
