Summa Defence Oyj: Summa Defence's Board establishes Audit and Risk Committee and Nomination and Remuneration Committee

The Board of Directors of Summa Defence Plc has decided to establish an Audit and Risk Committee, whose members are Sirpa-Helena Sormunen (Chairperson), Jussi Mälkiä and Erja Sankari.

The Audit and Risk Committee is responsible for, among other things, preparing matters related to the company's financial reporting, internal control and risk management for the Board.

In addition to the Audit and Risk Committee, Summa Defence Plc is establishing a Board Nomination and Remuneration Committee, whose members are Arto Räty (Chairperson) and Antti Vehviläinen. Due to the small number of Board members, only two members have been selected for the Nomination and Remuneration Committee.

The duties of the Nomination and Remuneration Committee include, among other things, assisting the Board in preparing the company's remuneration principles and practices as well as preparing and handling remuneration reports. The Committee shall prepare proposals for the nomination and appointment of the CEO and other members of senior management who report directly to the CEO. The Committee shall not prepare proposals for the nomination of Board members, which falls under the responsibility of the Shareholders' Nomination Board.
