<div class="abstract"><p>Four convertible loan contracts, totalling approximately Euro 430'000 have been signed and the funds have been fully received. This is a closing statement of the 2-year convertible loan with 8% annual interest rate and an option to convert the loan to shares at SEK 6 per share valuation that was launched in a press release on the 24[th] of January 2023.</p></div><p>Talkpool's Chairman Magnus Sparrholm and CEO Erik Strömstedt contributed with more than half of the loan amount.&nbsp;The loans were received in several currencies (CHF, EUR and SEK) according to the request of the lenders</p><p>Talkpool's board of directors are expected to propose issuing sufficient shares at the annual shareholder's meeting scheduled on the 16[th] of May 2023 to allow for full conversion. With a total amount of 6'778'097 Talkpool shares, the total pre-conversion valuation at SEK 6 per share is SEK 40'668'582, currently approximately EUR 3.66 million.</p><p>Talkpool's operational cashflow is going through a period of improvement as the company increasingly focuses on its most profitable businesses while reducing costs. The received cash from this new convertible loan shall mainly be used to amortize other loans according to existing&nbsp;agreements.</p>
