THE NOMINATION COMMITTEE OF NORDIC WATERPROOFING HOLDING AB DISSOLVED

Kingspan Group PLC (Kingspan) announced on 7 March 2025 that Kingspan controls 98.14% of the total number of shares and votes in Nordic Waterproofing. The same day Kinsgpan initiated compulsory redemption of the remaining shares in the company and Nordic Waterproofing’s board of directors resolved to apply for delisting of the company’s shares from Nasdaq Stockholm.

In view of the above, the members of the Nomination Committee have found that it is no longer meaningful for the Nomination Committee to continue its work.

Kingspan has informed Nordic Waterproofing that Kingspan as the largest shareholder will make proposals to the AGM.
