Uniscale AS, a 100% owned subsidiary of CodeLab Capital AS, has agreed to
acquire Acerat Limited to strengthen the inhouse development team. Acerat is a
well-known provider of consultant services to Uniscale for several years. The
cost base of Uniscale will not change, but as a consequence the consultant costs
will be reduced and the salary increased. The acquisition is motivated by
increased control of the human capital and value creation of the technology.
The seller is Acken AS, a 85% owned company of Svein Arne Ackenhausen. Mr
Ackenhausen is the CTO in Uniscale. At the preference of both Mr. Ackenhausen
and CodeLab Capital, the payment consists of a portion of shares in CodeLab. As
such Acken AS receives a cash payment of NOK 3.5 million and 5 million shares in
CodeLab Capital AS (pursuant to authorization granted by the Company's
extraordinary general meeting of 28 April 2023).

Acerat Limited is a company registered in and operating under full authorization
of the Ugandian authorities. The offices are located in Kampala, where the
company shares office buildings with other blue-chip global companies. Acerat
has been a consultant of development services for Uniscale for a long time and
has 7 employees.
