Xer Tech Holding AB (publ): Xer Tech Holding AB proposes a change to its Articles of Association to broaden its business scope to include the commercial security market

Xer Tech Holding AB (publ) ("Xer") today announces that its board of directors proposes to amend Xer's articles of association to permit Xer to operate within the security market, alongside its existing defence technology business. The proposal is a response to a rapidly evolving threat landscape facing critical infrastructure across Sweden and Europe, and would position Xer to bring its drone, sensor and electronic-warfare expertise to commercial security customers.

Background

Recent incidents involving drones and GPS jamming near critical infrastructure in Leipzig, Copenhagen and elsewhere have exposed gaps in traditional, personnel- and CCTV-based security. Xer believes its expertise in drones, sensors, AI and electronic warfare can help close that gap, and sees the commercial security market as an attractive growth opportunity that is a natural extension of its existing capabilities.

Planned offering

Xer intends to act primarily as an integrator, combining drone-in-a-box systems, advanced sensors, AI-driven analysis and other technologies with conventional security services to protect sites such as power plants, data centres, harbours and logistics hubs. Xer's core product, the X8 Pro, is expected to play a role in selected large-scale infrastructure applications. Xer does not plan to develop technology that already exists elsewhere in the market.

Market entry

Xer intends to pursue partnerships, collaborations or acquisitions with established security companies to accelerate market entry and is already in discussions with several Nordic security providers. The proposed change to the articles of association is intended to give the board flexibility to pursue the opportunity, rather than to commit the Xer to a specific step. The Xer's aim is to combine recurring security revenues with higher-margin technology, rather than simply add conventional, lower-margin security revenue.

CEO Comment

"The security market is fragmented and increasingly exposed to threats it was never designed to counter. We believe Xer's expertise in drones, sensors and electronic warfare can close that gap, and this proposal gives us the flexibility to pursue it", says CEO Erik Herlyn.

Next steps

The proposed amendment to Xer's articles of association will be put to shareholders for approval at the Extraordinary General Meeting to be held on September 17, 2026. Notice of the meeting, including the full proposal, will be published separately.
