Duell is an import company. The company's own and imported products are sold through a distribution network covering the European markets. Duell’s range of imported products includes equipment, accessories and spare parts for motorcycling, snowmobiling. boating, bicycling, ATVs/UTVs, mopeds and scooters. The company was founded in 1983 and its headquarters is located in Mustasaari, Finland.

“These changes improve the timing and accuracy of incoming deliveries, which enables lower inventory levels while ensuring good product availability for Duell’s customers.” They are taking exactly the right steps in a situation where the company has many times more wealth tied up in inventories even after debts than its current market value.

Duell recently announced the establishment of a supply chain organization aimed at improving inventory turnover. No numerical targets or timelines were disclosed in the announcement. The realization of benefits is expected to take place from the 2027 financial year onwards. It’s standard practice; the bank uses them to protect their receivables. And when they are breached, worse terms are renegotiated. And the bank dictates. It’s just normal business. The bank won’t demand a bankruptcy. I’ve played that card myself: “if you, as finance professionals, think we won’t survive, then I must immediately file for corporate restructuring.” After that, their tune changed and we continued as before. And the debt is equal to the turnover. And we’re talking 7-figure sums.

Let’s ask the reverse: if loan covenants don’t matter at all, why are they even put in there? Of course, it’s possible that breaching them doesn’t trigger any measures, or that they are renegotiated. But it’s quite optimistic to say that as long as payments are on time, loan covenants don’t matter. Personally, I would be stressed by a situation where the bank can demand full payment at any time. It doesn’t even have to be directly due to the company’s solvency; it could just as well be, for example, the banks’ own technical portfolio cleaning where they won’t listen much to some small-fry operation’s excuses about how “yes, we’ll have cash freed up.” Those interest incomes aren’t such an attractive honeypot that it couldn’t happen, especially if, for instance, interest rates rise in general, etc. So, it may well be that nothing happens, but for god’s sake, a company cannot be in breach of covenants and just hang there contentedly twisting in the wind; they need to get out of that situation ASAP. This is in general; I don’t know what the best methods for Duell are, from a rights issue to a hybrid or the easiest, loan renegotiation.

Generally speaking, when my own company has a few million in debt… no bank has cared yet even though covenants have been breached. And they’ve been broken both intentionally and unintentionally… I’ve gotten away with just a little slap on the wrist talk… a bank doesn’t kill a cash cow, or at least not any of the big three in Finland. And they were breached because circumstances forced it, not because breaking them was fun. So I don’t see a risk in that regard.

From the bank’s perspective, it’s simply better to demand loan repayments while the owners still believe in the business. If the operating result were to slip into a loss, the owners’ willingness to put in more money would also decrease. That’s why additional recapitalization should be demanded in a timely manner.

Duell

Duell reports Q1 (Sep–Nov) on January 14. We expect a challenging quarter, with weak market conditions, elevated dealer inventories and France weighing on performance.
