Eezy operates in staffing and recruitment. The company offers solutions in several sectors, mainly in construction and civil engineering, electrical engineering and the manufacturing industry. In addition, HR support is offered as well as support and training in the work areas. The largest operations are found in the Nordic and Baltic markets. The company was previously known as VMP Group and is headquartered in Helsinki.

Yesterday’s crash following the news of the rights issue hit right around the new target price; new target EUR 0.60 & Reduce. Indeed, even though the covenants were fine at the turn of the year, they were presumably so tight that the unused credit facility was not available…  In principle, we expect the company to raise EUR 10 million in gross proceeds at a typical discount of around 40% relative to the current share price. According to our calculations, this would correspond to a P/E multiple of approximately 8x and an EV/EBITDA multiple of just over 5x on our 2027 forecasts with our current estimates.   the financial position was worse than we anticipated, and the liquidity situation would likely not have allowed for the full payment of VAT liabilities without tapping into the unused facility. This, in turn, might not have been possible within the framework of the covenants. At Eezy, there is quite a lot of ownership among lower management and staff, as they stepped up when NoHo sold, for example. I wonder if everyone has the funds to participate in the rights issue, and therefore needs to liquidate shares before they can subscribe.

Yeah, well, these offerings have this specific problem with these “hot dog stands” (micro-caps). There are no buyers, so the price can free-fall with less than 100k in selling.

In my opinion, that 9.5% would have been a quite reasonable interest rate in that regard, but the tax authorities would have eventually sent the entire debt to collection. I would have rather paid that on the 10 million than launched a share issue, and I bet most other shareholders would have too.

I have pretty much the same feelings. The reasoning is solid enough in its own right—9.5% interest is tough to pay, especially since the business is at such a delicate stage anyway if cheaper financing isn’t available elsewhere. And since the main owners are on board, the rights issue will also go through. But the fact that fulfilling the covenants had just been hyped up after a long break, and this follows practically right on its heels, it does feel a bit like being hoodwinked.

I honestly feel a bit duped that the company’s debt situation seemed to be progressing well and cash flow was good, only to see from the annual report published today that financial debt has been reduced by increasing VAT debt levels. Those weren’t reported in the interim reports. No wonder Westermarck hasn’t had an appetite for the shares, and former CEO Saksi also sold half his holdings in December. Retail investors had no way of seeing this development.

VMP’s IPO price was €5.00 in 2018. Since then, the company’s balance sheet and earnings power have been destroyed by dismal acquisitions while following a growth company strategy. The balance sheet is loaded with debt and interest expenses are shocking. None of the forecasts or other analyses provided by the company at the time have materialized by any metric. Reading them has only led a retail investor to draw poor conclusions. These unpaid VAT liabilities are another example of how it is impossible to analyze the company from the outside. When asked, the company says that the bank loan debt load is somehow under control, at least for the moment. But they fail to mention that, in fact, VAT debts are set to blow up in their faces next month and they won’t be able to pay them. This is only reported as a news bombshell later when they have no other choice. In an alternative reality, it would be interesting to see what the company’s situation would be today if they had focused solely on disciplined organic growth without acquisitions and debt, and the company’s name was still VMP. I’ll be surprised if the share price isn’t closer to €0.50 by the time the rights issue is underway and subscription rights start flooding the stock exchange’s trading system.
