Eezy operates in staffing and recruitment. The company offers solutions in several sectors, mainly in construction and civil engineering, electrical engineering and the manufacturing industry. In addition, HR support is offered as well as support and training in the work areas. The largest operations are found in the Nordic and Baltic markets. The company was previously known as VMP Group and is headquartered in Helsinki.

Regarding the extras in the secondary subscription, as far as I understand, a minimum of 8.6% extra is certain as follows: One can speculate on it:  If Sentica, as the 30% underwriter of the offering, is not involved in the secondary subscription → 8.6/(100%-30%)=12.3% certain, assuming everyone in the secondary subscription subscribed for at least 12.3%. If 50% of those who gave advance commitments are not involved in the secondary subscription → 8.6/(100%-50%)=17.2% certain, assuming everyone in the secondary subscription subscribed for at least 17.2%. The above figures can be doubled if, weighted by shares, only every second person subscribed for secondary shares, resulting in 24.6% / 34.4%. If the portion exceeding 100% (8 percentage points, 8 million shares, 800k EUR) has come from subscribers who had no subscription rights at all, then everyone who subscribed for secondary shares through rights will each receive everything they requested.  But quite true, all the ingredients are here for a generous amount of shares in the secondary subscription, perhaps even everything requested for everyone. If I recall correctly, even in Finnair’s (Finski’s) second offering, everyone got everything they wanted in the secondary subscription, but usually, one’s own requests (25% extra etc.) have been cut to the 5-10% range, especially when underwriting is sorted.  Let’s see, the secondary allocation will be on April 21st; that’s next Tuesday.

The terms didn’t say anything about original shareholders being favored; instead, all subscription rights are equal whether they were purchased or received through shares. Sometimes that is the case, but not here.

I did the same math, i.e., I subscribed 100% and then put about 65% of my original share count into secondary subscriptions—theoretically, I guess half should go through directly if 92% of the rights were used and the total was 108%. I don’t know how many secondary subscriptions there are without rights or with new rights, as the original ones come first according to the terms, meaning 50% should go through at a minimum.

There were quite few participants in the secondary subscription, as only just over 16M shares were subscribed without subscription rights (and some of those likely without even participating in the actual rights issue). It looks like the secondary subscription will result in a significant amount of shares in hand. I subscribed heavily in the secondary myself; I won’t get the full amount, of course (I subscribed 250% of my rights in the secondary), but a surprisingly large amount nonetheless. It will be interesting to see how the share price reacts once we get past this special situation and Eezy is slightly more solvent than before. But only slightly.

So when about 100 million shares were on offer, 92 million were subscribed with rights.  So about 100/92=8.6% extra can be obtained in the secondary subscription at the 10c price at minimum, because not everyone participates in the secondary. Quite a few left their rights unused, as about 50% or 50 million shares had previously stated they were committed to using their rights. Thus, from the other half of the rights, (50-42)/50=16% went to the trash, meaning almost every sixth… Right? The offering was, of course, fully subscribed because it was guaranteed. 21.4. final information  According to the preliminary results, a total of 108,380,752 New Shares were subscribed for in the Share Issue, which corresponds to approximately 108.2 percent of the New Shares, and thus the Share Issue is oversubscribed. A total of 92,041,008 New Shares were subscribed for using subscription rights. In addition, 16,339,744 New Shares have been subscribed for without subscription rights. Otherwise, it seems management has exercised their subscription rights, but there has been no notification from Markus Jussila. He did, after all, acquire more shares from the market at the end of 2024.
