<div class="mfn-preamble"><p><strong>The board of directors of Fasadgruppen has, in accordance with the press releases on 4 and 5 July 2022 and based on the authorisation from the annual general meeting on 12 May 2022, resolved on directed share issues of 1,013,448 shares to the sellers of RKC Construction Oy (also called “Rovakate”) and Altana A/S (“Altana”).</strong></p></div><div class="mfn-body"><p>On 4 July 2022, Fasadgruppen announced that it had entered into an agreement to acquire all shares in Rovakate, and on 5 July 2022, Fasadgruppen announced that it had entered in an agreement to acquire all shares in Altana. Part of the purchase prices for Rovakate and Altana, respectively, consisted of so-called vendor notes in the amount of approx. MSEK 63 (for Rovakate) and MSEK 28 (for Altana). The sellers of the companies have agreed to set off the vendor notes against new shares in Fasadgruppen. In order to settle the vendor notes, the board of directors of Fasadgruppen has today resolved, based on the authorisation from the annual general meeting on 12 May 2022, on directed share issues of a total of 1,013,448 shares in Fasadgruppen (of which 718,898 shares were issued to the sellers of Rovakate and 294,550 shares were issued to the seller of Altana).</p><p>The subscription price for the shares that were issued to the sellers of Rovakate, which according to the share purchase agreement was to correspond to the volume-weighted average price for the Fasadgruppen share during the period 5 July–16 August 2022, amounted to SEK 86.85 per share. The subscription price for the shares that were issued to the seller of Altana, which according to the share purchase agreement was to correspond to the volume-weighted average price for the Fasadgruppen share during the period 23 May–6 July 2022, amounted to SEK 96.76 per share.</p><p>Following the directed share issues, the total number of shares and votes in Fasadgruppen amounts to 49,623,830 shares and votes.
