I had also invested with the idea of collecting a dividend of over 6% and that the merger of the share classes would only happen in 1–2 years. But it’s good if it goes through. The premium is indeed massive, but as shown earlier in the thread regarding the roughly 1.4 million increase in the number of shares, the shareholder should still come out on top. Karo Hämäläinen has also pointed out in his videos the unlocking of value via Alma Media after the merger of the share classes. Hopefully, that will be the case. At least the stock took off rapidly; I intended to add more, but perhaps I’ll just wait and see for now.

Here is a new company report on Ilkka from Roni regarding Q4  Ilkka’s Q4 result fell slightly short of our forecasts, but the guidance for the year indicates, in line with our expectations, continued earnings growth in 2026. The main focus was on the company’s strategy update, which aims to accelerate international growth. The targets also indicate the pursuit of growth through acquisitions, which in our view somewhat increases the risk level related to capital allocation. There is value in the sum of parts, and yesterday’s announced proposal to merge the share series with a new conversion ratio improves the probability of this value being unlocked. We raise our target price to EUR 4.25 (prev. EUR 4.0) and our recommendation to Accumulate (prev. Reduce). Above all, I wonder about the rush; it’s only been a few months since the last merger attempt. Perhaps major shareholders have woken up to Ilkka’s balance sheet development (as I have). Ilkka is still net debt-free for now. However, compared to 2019, after which the company began acquiring digital kiosks, about €30 million has vanished from the cash reserves and approximately €10 million in interest-bearing debt has been added. In six years, management has swapped over €40 million of shareholders’ money for unprofitable digital kiosks. If this trend accelerates further, the Alma shares will soon be trapped on the balance sheet by debt. That’s how I see it. And I (naturally) agree that the share classes need to be merged.

I see it the same way. And in the current model, there really isn’t any justification/sense for the company to maintain two share classes. This would be an important step for the company’s future as a credible listed company.

What else could be the motive other than providing reasonable compensation (aka forcing them with money) to the old guard from the plains, so that the company’s value can be realized and they can stop sitting on a pile of cash? If the price is having to issue approximately 1,398,051 new shares, I would gladly take that deal. If this were the start of dismantling the holdings—selling the entire Alma position to Otava and distributing the proceeds to shareholders in the long run—Alma Media alone would account for €135,000,000, based on the €15 per share that Otava paid for a larger block last week. If the plan goes through, the company would have a total of 26,848,462 shares, meaning the value of the Alma Media stake alone would be €5.02 per share, plus all other holdings on top of that. It is clear that if the plan goes through, Keskisuomalainen and REBL will want to liquidate; I believe they will also secure the necessary block to support this. I will support this at the Annual General Meeting, but my few hundred Series 1 shares won’t be what decides the outcome.
