This was probably the decision to separate financing for the investment company period. Now the group operates as a single entity regarding financing: Parent & KH Koneet & NRG. It seems that the strategy is progressing as promised. In connection with this, I would hope that @Thomas_Westerholm, in connection with company analyses or similar, could challenge KH Group regarding its strategy for NRG. Alternatives/steps could include, for example:  KH Group acquires Teollisuussijoitus Oy’s (Finnish Industry Investment Ltd.) stake in NRG? NRG expands its offering beyond assembly and maintenance to new industry segments, such as domestic/Nordic companies in the fire safety sector and/or companies in the extinguishing system sector?  So, would NRG have the opportunity to acquire suppliers of niche products used in assembly? Or companies operating in fire safety and equipment maintenance? Calle and Tommi answered my questions in the Q4 webcast very comprehensively in the chat. Thank you for that. Perhaps in the next webcast, I will have eager inquiries related to this area as well  And now that I’ve gotten into the enthusiastic spirit of giving feedback , I would hope that the CEO of KH Group would participate in investment events, for example, and explain what KH Group is. The company has been quite in the dark after many CEO changes. Turku’s traditional machinery days were held on March 27-28. Of course, KH Group’s office in Lieto was also present. Sukari stated on Huomenta Suomi that he was ready to buy the significant Finnish furniture stores and continue their operations, but the authority prevented his plans. – We negotiated the purchase price with the bank for almost a year, but the KKV, or the competition authority, was constantly a bogeyman, asking how it would work in Pori or Rauma, for example, when there are already Asko, Sotka, Isku, Masku, and Jysk there. – I would have been forced to close two stores there. I couldn’t continue with Asko and Sotka there because it would have resulted in a dominant market share.   As a second reason for the failure of the deals, Sukari also mentions the excessively high purchase price. – Around 10,000 people should have been supplied with furniture from Asko or Sotka. When the stores went bankrupt. Now, those who paid by debit card or cash will probably not get anything from the estate. – I find it very unfortunate that KKV acts this way, that it hindered our deal, when the public suffers from not receiving their furniture.  This gives me the impression that KKV stalled the deal, and Sukari wouldn’t have wanted to close any stores or deliver the ordered furniture. However, if 10,000 ordered furniture items were too many, it makes one wonder if all of Indoor’s debt burden would have been otherwise okay. It’s difficult to say what the Competition Authority (KH) could have done about the aforementioned issues at this point. In past years, a lot was left undone, and now the price is being paid.

It could probably be true if 20m€ is the EV (Enterprise Value). So, did the creditors draw the short straw after all by not agreeing to the credit losses required by Sukari’s offer in time, and then incurred even more? It’s impossible to believe that KH wouldn’t have made the deals if there had been an offer on the table that would have left them with anything. With a 20m€ EV, KH probably wouldn’t have received anything, although this comment is made without checking the figures.

If this is even remotely true, then KH Group’s board has destroyed shareholder value to a historic extent in this company. This can’t be true, can it? And if it is, then how can there be any trust in the future that KH Koneet and NRG will maximize shareholder value?

This is indeed a strange case, if Sukari’s statements are to be believed at all. A year ago, Sukari said he offered just under €20 million and that negotiations had continued several times since. He says he was ready to shake hands on the deal, but they couldn’t close it. Toivo mentions the KKV (Finnish Competition and Consumer Authority) as a possible obstacle to the deal, but with Ikea, Jysk, and several other players dominating the furniture market, it seems a bit strange that such a merger with Masku would have been very significant.                   iltalehti.fi              Toivo Sukari kertoo nyt, mitä aikoo tehdä Askon kanssa    Kauppa Askon ja Sotkan brändeistä oli pitkän työn takana.
