The Board of Directors of PPI Public Property Invest AB (publ) (“PPI” or the “Company”) has resolved to launch a share buyback program as part of the Company's ongoing capital allocation strategy. The Board has, based on the authorisation granted by the Extraordinary General Meeting on 10 April 2026, resolved to commence the repurchase of shares for a maximum of SEK 400  million (or the equivalent in another currency).

The purpose of the buyback program is to give the Board of Directors the flexibility to reduce and adjust the Company's capital to create value for the Company's shareholders.

  • The acquisition of own shares shall take place on Nasdaq Stockholm and/or Euronext Oslo Børs in accordance with Regulation (EU) No 596/2014 on market abuse (“MAR”) and Commission Delegated Regulation (EU) 2016/1052 (the “Safe Harbour Regulation”), as well as Nasdaq Stockholm’s rulebook for issuers of shares (the Nordic Main Market Rulebook for Issuers of Shares) and Euronext Oslo Børs Rule Book II. Acquisitions of shares will be carried out by an investment firm or credit institution that makes its trading decisions regarding the timing of acquisitions of the Company's shares independently of – and uninfluenced by – the Company.
  • The acquisition of own shares may be carried out on one or more occasions until 26 February 2027.
  • Shares in the Company for a maximum of SEK 400  million (or the equivalent in another currency) may be repurchased. The Company may not repurchase such number of shares that would exceed 10 per cent of all shares in the Company.
  • The acquisition of own shares on Nasdaq Stockholm or Euronext Oslo Børs may not be made at a price higher than the higher of the price of the last independent trade and the highest current independent purchase bid. Acquisitions may not be made at a price lower than the lowest price at which an independent acquisition can be made. Payment for acquired shares shall be made in cash.
  • The acquisition of own shares may only be made subject to the volume restrictions for share repurchases set out in Nasdaq Stockholm’s rulebook for issuers of shares, MAR and the Safe Harbour Regulation.
